Acceptable Use Policy

Version 2 · Effective 26 August 2026

This Acceptable Use Policy (this "Policy") sets out the rules that govern use of Scallor, the AI-native delivery-intelligence platform operated by Scallor Inc. ("Scallor", "we", "us", or "our"), including its AI assistant, "Pulse". This Policy is referenced by the Scallor Terms of Use and is incorporated into the Master Services Agreement or other subscription agreement between Scallor and each customer (together with any applicable Order Form, the "Agreement").

By accessing or using the Scallor platform and its features (the "Service"), each customer ("Customer", "you", or "your") and each person the Customer authorises to use the Service ("Authorised Users") agree to this Policy. If you do not agree to this Policy, you must not access or use the Service. Capitalised terms used but not defined in this Policy have the meanings given to them in the Agreement. Where you access or use the Service under the Scallor Terms of Use and not under a signed Agreement, references in this Policy to the "Agreement" are to those Terms of Use, references to "Customer", "you" and "Authorised Users" are to the user and its authorised users as described in the Terms of Use, and provisions of this Policy that depend on an Order Form (including any specific Pulse Action allowance) apply only where and to the extent an Order Form is in place.

The Service is currently offered on a beta basis. Scallor continues to develop and refine the Service, and features, limits, and behaviour may change during the beta period.

1. Scope and Acceptance

This Policy governs all access to and use of the Service, whether by the Customer or by its Authorised Users. The Customer is responsible for the acts and omissions of its Authorised Users and for their compliance with this Policy, and any breach of this Policy by an Authorised User is treated as a breach by the Customer.

The Service is a multi-tenant platform. A Customer's subscription is shared across its Authorised Users, and Scallor operates the Service so that each Customer's data and activity remain logically separated from those of other customers.

This Policy forms part of the Agreement. If there is a conflict between this Policy and the main body of the Agreement, the main body of the Agreement governs, except to the extent this Policy addresses acceptable use in more specific terms, in which case this Policy governs on that point.

2. Fair Use and Usage Limits

Scallor sets reasonable usage limits for its AI features, measured in "Pulse Actions". Pulse Actions are an abstract unit of AI usage. A Customer's monthly allowance of Pulse Actions is shared across all of its Authorised Users. The limits applicable to a Customer are set out in the applicable Order Form. Scallor may define, adjust, and enforce these limits, including the size of the allowance and the way Pulse Actions are counted, on reasonable prior notice where practicable.

Fair use is assessed on monthly totals and relative to the usage of comparably-sized customers. The Pulse Action allowance is assessed and resets each applicable period stated in the Order Form, and unused Pulse Actions do not carry over to a later period. A Customer's allowance includes a grace buffer above its monthly allowance. Once the allowance and grace buffer are exhausted, Scallor may throttle or pause AI features that consume Pulse Actions for the remainder of the applicable period, until additional capacity is added or the allowance resets.

Where a Customer's use exceeds its allowance, or is inconsistent with fair use, Scallor may throttle Pulse Actions, pause AI features, or require the Customer to add capacity. Where practicable, Scallor will give notice before it enforces a limit. Sustained use above a Customer's allowance, or automated or scripted access to the Service, may be throttled or paused.

Specific allowance sizes, grace buffers, per-Action counting, and pricing are confidential commercial terms and are set out in the applicable Order Form, not in this Policy. In the event of a conflict between this Policy and an Order Form on the applicable limits, the Order Form governs.

3. Usage Notifications

As a courtesy, Scallor aims to notify a Customer's administrators as the Customer's usage approaches its allowance. These notifications are provided on a reasonable-efforts basis only.

Scallor does not guarantee that any notification will be delivered, or that it will be delivered at a particular time or before a limit is reached. A failure or delay in providing a notification is not a breach of this Policy or of the Agreement by Scallor, and does not give rise to any liability.

If Scallor fails to provide a notification that it aimed to provide, the Customer's sole and exclusive remedy is good-faith remediation by Scallor, which may include extending the grace buffer or adjusting the allowance for the affected period. The Customer remains responsible for monitoring its own usage of Pulse Actions and for managing its usage against its allowance.

4. Prohibited Uses

You must not, and must not permit any Authorised User or third party to, do any of the following in connection with the Service or its AI features:

(a) reverse engineer, decompile, or disassemble the Service, extract or attempt to extract prompts, system instructions, weights, or training data, or otherwise attempt to discover, replicate, or recreate the underlying models or systems;

(b) resell, sublicense, or redistribute the outputs of the AI features as a standalone product or service;

(c) use the Service or its outputs to benchmark against, or to design, train, or build, a competing product, service, or model;

(d) access the Service by automated or bulk means, or query it in volume, other than through the interface Scallor provides for that purpose, without Scallor's prior written consent;

(e) submit to the Service any data that is unlawful, that infringes the rights of any person, or that you are not licensed or otherwise permitted to submit;

(f) circumvent, disable, or interfere with any usage limit, metering, rate limit, or other control that Scallor applies to the Service;

(g) use the Service to create, store, or transmit any content that is unlawful, defamatory, harassing, threatening, or otherwise objectionable, or that infringes the intellectual property or other rights of any person;

(h) introduce or transmit any virus, malware, or other harmful code, or use the Service in a way that could damage, disable, overburden, or impair it; or

(i) attempt to gain unauthorised access to the Service, to any account or Authorised User, or to the data, systems, or tenant environment of any other customer, or otherwise attempt to breach the security or integrity of the Service.

5. AI Outputs and No Reliance

The outputs generated by Pulse and the Service's other AI features are provided on an "as is" basis. Scallor does not guarantee that any output is accurate, complete, current, or fit for any particular purpose. Like other AI systems, the Service can produce outputs that appear confident but are incorrect, incomplete, or misleading.

The AI features are designed to support human decision-making, not to replace it. A qualified member of the Customer's own personnel, or the Customer's own qualified adviser, must review AI outputs before the Customer or any Authorised User relies on or acts on them. This review obligation belongs to the Customer; Scallor has no obligation to review, verify, or validate AI outputs on the Customer's behalf. The Customer is responsible for keeping a human in the loop and for the decisions it makes using the Service.

AI outputs are decision-support only. They do not constitute professional, legal, financial, or other advice, and they are not a substitute for the Customer's own professional judgment or for advice from a qualified professional. The Customer must not present AI outputs to its own clients as professional advice without applying its own review and judgment.

6. Enforcement and Suspension

Scallor may investigate suspected breaches of this Policy and may take the steps it reasonably considers appropriate, including throttling or pausing AI features, and suspending or terminating access to the Service, in whole or in part.

Where practicable, Scallor will give the Customer notice of a suspected breach and an opportunity to address it before suspending or terminating access. Scallor may act without prior notice where it reasonably believes immediate action is necessary, including to protect the security or integrity of the Service, to protect another customer, to comply with law, or to prevent harm or legal exposure to Scallor or others.

Scallor's rights under this Policy are in addition to, and do not limit, its rights and remedies under the Agreement or at law. A decision by Scallor not to enforce a provision of this Policy on any occasion is not a waiver of its right to enforce it later.

7. Reporting and Takedown

If you become aware of any content or activity on the Service that breaches this Policy, or of any suspected security issue, report it to Scallor at [email protected]. Please include enough detail to allow Scallor to locate and assess the content or activity.

Scallor may, but is not obliged to, review content and activity on the Service. Scallor may remove or disable access to any content, or suspend any activity, that it reasonably believes breaches this Policy, and will handle intellectual property complaints in accordance with applicable Canadian law.

8. Changes to this Policy

Scallor may update this Policy from time to time. For material changes, Scallor will provide reasonable prior notice by posting an updated Policy and, where the Customer has administrator contacts on file, by notifying those administrators, before the change takes effect. Your continued use of the Service after a change takes effect constitutes your acceptance of the updated Policy. Scallor will make the current version of this Policy available through the Service.

9. Governing Law

This Policy and any dispute arising out of or relating to it are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that Province, without regard to conflict of laws principles. The Customer and Scallor submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, consistent with the Agreement or, where you access the Service under the Terms of Use, the forum stated in those Terms.

10. Contact
